Guidewire Agrees to Buy UK Insurance AI Firm hyperexponential for Up to $2.1 Billion
The insurance software provider plans a $1.7 billion cash acquisition with up to $400 million in conditional payments, expanding its underwriting and pricing technology.
Guidewire Software announced on October 27, 2026, that it had signed an agreement to acquire London-based insurance technology company hyperexponential in a transaction that could reach $2.1 billion if specified revenue targets are met.
The proposed purchase has a base price of $1.7 billion in cash, subject to adjustments. An additional payment of up to $400 million depends on hyperexponential meeting recurring-revenue milestones. The maximum figure is therefore conditional, not an amount Guidewire has already paid. The transaction has been agreed but has not yet closed.
Hyperexponential develops software for commercial property and casualty insurers, helping underwriting teams assess the risks they are willing to insure and calculate prices. Its technology uses AI-assisted processes in work that has traditionally involved extensive analysis by underwriters and actuaries. Guidewire already provides core systems used by insurers to manage policy and risk information, and hyperexponential has been one of its technology partners.
Guidewire said it expects to finance the acquisition using existing cash and $1 billion of new term-loan financing, for which it has obtained commitments from Bank of America and Citibank. The company expects the deal to close during the second quarter of its 2027 fiscal year.
The acquisition would give Guidewire a larger role in underwriting decisions as well as the systems that administer insurance policies. Management expects the purchase to increase recurring revenue, but its forecasts depend on integration and customer adoption. The use of AI in insurance pricing also raises operational questions about data quality, model oversight and whether automated recommendations remain consistent with insurers' risk controls.
The announcement is another example of an established enterprise-software supplier seeking to acquire specialized AI capabilities rather than developing every component internally. Investors and customers will be watching the closing timetable, the final consideration and whether the combined products deliver the efficiency improvements claimed by the companies.
